Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of Adspot and related services operated by Elementra LLC (“we”, “us”, “our”). By accessing or using our services, you agree to be bound by these Terms.

Adspot is owned and operated by Elementra LLC, located at 8 The Green, Ste B, Dover, DE 19901.

Adspot lets people create campaign pages, mark advertising spots on photos or 3D models, and sell those spots to sponsors. Payments are processed through Stripe, including Stripe Connect for creators who receive funds. Features may change as we improve the product.

You are responsible for the campaigns, photos, models, logos, copy, and other materials you or your sponsors upload. By uploading content, you grant us a limited license to store, display, and deliver that content as needed to operate Adspot. You represent that you have the rights needed to post that content and to offer the advertising space you list.

Adspot is a marketplace. We provide tools to list spots, collect payment through Stripe, and display sponsor logos on a campaign page. We are not the seller of the advertising placement. The contract for the spot is between the sponsor (buyer) and the creator who listed the campaign (seller).

Elementra LLC is not a party to that sponsorship, does not guarantee that a campaign will happen, and does not control how the creator uses the funds.

Creators are solely responsible for delivering what they advertise: placing the sponsor's logo or name on the body, vehicle, event, object, or other surface they listed; running the campaign as described; and honoring any perks, dates, or promises on their page.

If a campaign is cancelled, delayed, incomplete, or never delivered, that is the creator's responsibility, not ours. Sponsors must contact the creator about non-delivery. We do not step in to complete the placement, replace the creator, or make the campaign happen.

Creators must list only spots they have the right to sell, keep their page accurate, and not mislead sponsors about what they will receive.

Payments are processed securely through Stripe. We do not store full credit card details. When a sponsor buys a spot, funds go to the creator's connected Stripe account, minus any platform fee.

We do not issue refunds. Adspot and Elementra LLC are not responsible for refunds, credits, or chargebacks arising from a campaign, a spot purchase, or a creator's failure to deliver. If you want a refund, you must request it from the creator. Any refund the creator agrees to is between the creator and the sponsor and is processed through Stripe by the creator, not by us.

Buying a spot is a purchase from the creator. Payment through Adspot does not make us the merchant of the advertising service, and it does not create any refund obligation for Elementra LLC. Platform fees, if collected, are for use of the software and are non-refundable.

Chargebacks, Stripe disputes, and similar claims remain the creator's responsibility. We may share records with Stripe or the creator to help resolve a dispute, but we are not required to refund the sponsor or absorb the loss.

Uploaded media is stored in secure object storage. Campaign and account data is stored in our database. Your data is encrypted at rest and in transit. See our Privacy Policy for more detail.

You agree to use our services only for lawful purposes. You may not upload content that infringes intellectual property rights, contains malware, is unlawful, harassing, or violates any applicable law. You may not offer advertising that you do not have the right to sell, or use Adspot to mislead sponsors or visitors.

To the maximum extent permitted by law, Elementra LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to lost sales, lost data, unpaid refunds, undelivered campaigns, unused sponsor placements, or disputes between creators and sponsors.

We do not warrant that a creator will deliver a campaign, that a sponsor will receive the advertised placement, or that either party will be satisfied with the result. Your sole remedy for non-delivery or a refund request is against the creator.

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
